Louis J. Morelli

Louis J. Morelli, licensed to practice law in 1986, has over 30 years of legal experience and concentrates in business and transactional law, civil litigation, real estate, and estate planning. He currently represents over 65 corporate clients nationwide. His transactional experience includes negotiating and drafting commercial leases, real estate acquisitions, shareholder and operating agreements, asset and stock purchase agreements, and business development agreements.

On behalf of shareholders of a closely held corporation, Mr. Morelli negotiated and participated in the drafting of a 70-million-dollar loan transaction involving a capital venture group, and senior and subordinated lending institutions. In addition, Mr. Morelli represented the shareholders in negotiating with the underwriters (Solomon, Smith, Barney & Baird Warner) in connection with an initial public offering.

Mr. Morelli’s civil litigation experience includes prosecuting and defending breach of contract disputes, business fraud, deceptive practices, and UCC disputes. Mr. Morelli also practices in Chancery Court seeking and defending injunctions to enforce post-employment covenants not to compete. Mr. Morelli has tried over 180 bench and jury trials in his career and has an impressive 94% victory rate.

Mr. Morelli is also a licensed Illinois Real Estate Managing Broker and is therefore able to assist with clients’ real estate endeavors. Additionally, Mr. Morelli is a co-owner of a staffing company operating throughout Indiana and Michigan. Gross sales for this staffing company exceed 140 million. Mr. Morelli also owns a restaurant group and is in involved with the expansion of several locations throughout the Chicagoland area.
